§ 1 General Provisions 1. The Hexagonby Endowment Foundation, hereinafter referred to as the "Foundation", operates under the provisions of the Foundations Act of 6 April 1984 (Journal of Laws of 2020, item 2167), other provisions of applicable law, and this Statute. 2. The Foundation was established by Siaržuk Kavaleŭski, hereinafter referred to as the Founder, by a notarial deed drawn up by notary Joanna Matecka - Kotecka at the notarial office in Poznań at Wielka Street 12/2 on 14 February 2025. 3. The territory of the Foundation's activity is the area of the Republic of Poland. To the extent necessary for the realization of statutory goals, the Foundation may operate outside the borders of the Republic of Poland. 4. The registered office of the Foundation is the city of Poznań. 5. The Foundation has a legal personality. 6. Supervision over the Foundation is exercised by the competent Minister of Foreign Affairs. § 2 Objective and Principles of the Foundation's Activity 1. The objective of the Foundation is: - support for the development of civil society; - financial support for independent media; - financial assistance to prisoners and organizations supporting them; - assistance to evacuation organizations; - support for the families of prisoners; - support for former prisoners and assistance in their rehabilitation and emigration; - assistance to persons at risk due to political reasons; - assistance to combatants and repressed persons; - assistance to victims of disasters, natural calamities, armed conflicts, and wars at home and abroad; - support for the cultivation of Belarusian culture; - support for Belarusian youth; - support for ecological projects through co-financing, education, and advisory activities; - activities for the benefit of disabled persons. 2. The Foundation's objective is realized through: - Creating and managing a perpetual fund (endowment), the income of which will be allocated to statutory goals; - real estate rental; - cooperation with state and social institutions operating within the scope covered by the Foundation's goals; - organizing and financing scholarships and awards for the Foundation's beneficiaries; - conducting educational and publishing activities. 3. The Foundation's activities in the scope of supporting persons at risk of political repression or former prisoners are carried out in accordance with the applicable laws of the Republic of Poland and in the spirit of human rights defined in the Convention for the Protection of Human Rights and Fundamental Freedoms. § 3 Assets of the Foundation 1. The assets of the Foundation consist of the Founding Fund in the amount of PLN 1,000 (say: one thousand Polish zlotys). 2. The Founder has made a payment of PLN 1,000 (say: one thousand Polish zlotys). § 4 Income of the Foundation 1. The Foundation's income may come from: - economic activity conducted (if initiated); - donations, inheritances, and bequests; - subsidies and subventions; - collections, public events, lotteries; - the assets of the Foundation; - income from capital investments. 2. The Foundation does not conduct economic activity at the time of its establishment; however, it may undertake such activity in the future in accordance with the applicable regulations in the scope of: - investing in the securities market; - real estate rental; - publishing activity (PKD 58.2.Z); - education (PKD 85.1.Z). § 5 Economic Activity of the Foundation and Distribution of Income 1. If economic activity is undertaken, the income will be allocated to the realization of statutory goals. 2. A maximum of 10% of the perpetual fund's income may be allocated to operational activity, including the remuneration of the Management Board. The remaining 90% of the perpetual fund's income is allocated exclusively to the realization of the Foundation's statutory goals and is reinvested in order to increase the capital of the fund. 3. Income from sources other than the perpetual fund is allocated exclusively to investment in order to increase the capital of the fund and to operational activity. § 6 Foundation's Liability for Obligations The Foundation is liable for its obligations with all its assets. § 7 Governing Bodies of the Foundation 1. The governing bodies of the Foundation are: a) the Foundation Council, b) the Management Board of the Foundation. 2. The Foundation Council is the body of supervision and control, while the Management Board of the Foundation is the managing body. § 8 The Foundation Council 1. The Foundation Council consists of: two to five members. 2. The Foundation Council may appoint other persons to the Foundation Council at any time. 3. The first composition of the Foundation Council is appointed by the Founder. Subsequent members are appointed and dismissed by a resolution of the Foundation Council. 4. Members of the Foundation Council perform their functions without remuneration. 5. The Foundation Council elects from among its members a Chairman of the Council, who directs its work, represents the Council externally, and convenes and chairs the meetings of the Council. 6. Resolutions of the Foundation Council are passed by a simple majority of votes, provided that at least half of the members of the Council are present. 7. The competences of the Foundation Council include: - amending the Statute of the Foundation; - submitting motions regarding the Foundation's activities; - passing resolutions in the scope of the Foundation's action programs; - passing resolutions regarding motions and matters submitted by the Management Board; - consideration and approval of the annual reports of the Management Board; - granting discharge (absolution) to members of the Management Board; - appointing and dismissing members of the Management Board; - supervision over the Foundation's activities. 8. Members of the Management Board of the Foundation may participate in the meetings of the Foundation Council. § 9 The Management Board of the Foundation 1. The Management Board of the Foundation consists of one to three persons, including the President of the Foundation, and is appointed by the Foundation Council. 2. Members of the Management Board of the Foundation are elected for an indefinite period; however, they may be dismissed by the Foundation Council at any time. 3. Resolutions of the Management Board of the Foundation are passed by a simple majority of votes, in the presence of at least half of its members. In the case of a single-member Management Board, decisions are made by the President of the Management Board sole-handedly. 4. In the case of a single-member Management Board, its decisions are subject to approval by the Foundation Council. 5. In the case of an equal distribution of votes in the Management Board, the President of the Management Board has the deciding vote. 6. The competences of the Management Board of the Foundation include: - external representation of the Foundation; - preparing action programs of the Foundation; - exercising management over the assets of the Foundation; - preparing the draft budget of the Foundation; - accepting donations, subventions, inheritances, and bequests for the benefit of the Foundation. 7. Members of the Management Board of the Foundation may receive remuneration for their activities exclusively from the income of the perpetual fund and only after covering all costs of the Foundation's operational activity. 8. In the case of a single-member Management Board, the signature of the President of the Management Board is required to submit declarations of intent and represent the Foundation, or the cooperation of two members of the Management Board in the case of a multi-member Management Board. § 10 Duration of the Foundation The duration of the Foundation is indefinite. § 11 Liquidation of the Foundation 1. The Foundation is liquidated in the event of a decision by the Founder or a unanimous decision of the Foundation Council. 2. The funds remaining after liquidation are transferred in their entirety to organizations with similar objectives and cannot be paid to the Founder.
